Terms and Conditions


1. Introductory provisions

1. These Terms and Conditions are issued by Edookit, s.r.o. with registered office at V Kapslovně 2767/2, 130 00 Prague 3, ID No.: 28341821, VAT No.: CZ699004029, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 339700 (hereinafter referred to as Edookit). These Terms and Conditions govern the contractual relationship between Edookit and the School.

2. Definition of terms

1. GDPR - Regulation (EU)2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).
2. contract - the contract for the provision of the Edookit information system, which consists of the order or contract together with these terms and conditions. The subject of the Contract is the use of the System or other services specified in the order or contract.
System - the Edookit Information System operated by the Plus4U Service. The System is used to support the administration of the School and is intended for the management and processing of personal data carried out by the School as a data controller (within the meaning of Article 4(2) of the GDPR), in particular on the basis of Act No. 561/2004 Coll., the Act on Pre-School, Primary Secondary, Higher Vocational and Other Education (Education Act), as amended.
4. the Plus4U service - an internet service for the operation of information systems operated by Plus4U Net a.s. The provision of the Plus4U Service is governed by the terms and conditions of use of the Plus4U Service set out on the website at https://www.plus4u.net/cs/terms.

3. System

1. The School shall have access to the System under the Agreement to the extent of all its current modules.
2. All data is the property of the School and is stored on servers in professional data centres within the European Union.
3. The School has unlimited data space for all data except file attachments. For file attachments the School has 100 GB of data space. File attachments above this limit will be charged according to the current price list on the Edookit website. In the event of an increase in the price for storage of file attachments, Edookit will notify School in writing of such increase and send School a tax receipt for payment of the price.
4. the System is operated on the Plus4U Service, to which each user of the School (parents, children, teachers) must be registered in order to be assigned a Plus4U identity (unless this has already been done independently of this Agreement). The Plus4U Identity will then allow those users to access the System. All registrants to the Plus4U Service are required to comply with the terms of use of the Plus4U Service referred to in the Definition of Terms above.
5. The Customer hereby acknowledges and agrees that the System is operated and provided as a service, i.e. that the School does not own or purchase the System itself, but uses the System for the duration and subject to the terms of the Agreement. Edookit grants the School a non-exclusive right to exercise the right to use the System in this context.
6. Edookit is entitled to display advertisements and offers on the System.

4. Conclusion of the Contract


1. Edookit shall, on receipt of an enquiry, make an offer to the School with a price together with these terms and conditions. By submitting an order to Edookit, the School accepts this offer and at the same time confirms that it has read and agrees to these terms and conditions. The sending of a binding order by the School is thus also the moment of conclusion of the Contract.
2. The conclusion of the Contract may also take place via the website. In this case, the Contract is concluded at the time of payment of the price by the School.

5. Price and payment terms

1. The price for the System and other related fees are stated in the price list, unless otherwise agreed between the contracting parties.
2. The number of students of the School decisive for determining the price is calculated as of the first day of the month in which the invoice is issued in accordance with Article 5.3 of these Terms and Conditions.
3. The price for providing the System is always invoiced for 12 subsequent calendar months in advance.
4. The price is payable on the basis of a tax document (invoice) issued by Edookit with a maturity date of 14 days from the issuance of the invoice to the School. Other methods of payment of the price are stated below in this article.
5. The invoice will be prepared and delivered electronically to the e-mail address specified in the order.
6. If the School fails to pay properly and on time, it will pay Edookit, in addition to the amount owed, a contractual penalty of 0.1% of the amount owed for each day of delay.
7. Edookit is entitled to increase prices with regard to the inflation rate expressed by the increase in the average annual consumer price index according to official data from the Czech Statistical Office. Such price adjustment is valid from the moment Edookit informs the School by sending the information to the e-mail from which the order was made, or another e-mail that the School has indicated as the School's contact or data mailbox.
8. Edookit is also entitled to increase the price unilaterally in other cases, and is obliged to inform the School at least two calendar months before the planned price increase. If the School does not agree with the price increase, it is entitled to terminate the Agreement according to Article 10.3 of these Terms and Conditions.

6. Rights and Obligations of the Parties

1. Edookit shall:
1. Enable the School to use the System in accordance with the Agreement.
2. Enable the School to store data in the System in a manner that enables the System to fulfil its purpose and ensure that the data is stored with the utmost care to prevent its loss, misuse or degradation.
3. To notify the School in advance of any information about facts that prevent or restrict the provision of the System to the School, if known in advance.
4. Inform the School of changes in the scope or quality of the System, the deployment of new versions or other important information related to the provision and operation of the System.
5. Provide the School with technical support and support in the deployment of the System, which is part of the price according to Article 3 of these Terms and Conditions. The scope of technical support and support for the deployment of the System means:
  • Service support and technical assistance directly related to the use of the Edookit System, error reporting and advice on how to use the agendas in the System.
  • Updating the System to take account of legislative changes.

  • Written support for School users is available in the form of a message from the System - Write to the Edookit team. Messages are dealt with with a response time of 24 - 48 hours (1-2 working days), up to 72 hours (3 working days) during peak periods.
  • Telephone support for System Administrators is available on weekdays from 8:00 am to 11:00 am and from 11:30 am to 3:00 pm:
    • Schools have a maximum of 5 phone calls per month outside of peak periods, each up to 20 minutes in length (new schools have 8 calls in the first 3 months of their subscription).
    • During peak periods, a maximum of 8 calls per month, each up to 20 min. in peak periods (new schools 10 calls in the first 3 months of subscription).
    • Peak period means:
      • Start of the school year 15 August - 30 October,
      • Printing of half-year report cards 15 January - 31 January,
      • Spring registration deadline March 20-April 15,
      • Report card printing June 10 - June 30.
    • The school is authorized to add 5 calls (each up to 20 minutes in length) at the price listed on the price list, valid for an unlimited period of time, by ordering a message in the System if calls are exhausted.
    • The number of unused calls already priced according to Article 3 of these Terms and Conditions shall not be carried over to the new month. Call records are available to school administrators in the System.
6. For the avoidance of doubt, the School acknowledges that the support does not extend to the management of the System environment, IT infrastructure (in particular, workstations, printer network, network, internet connection, other devices, components, etc.) or software (in particular, operating system, anti-virus software, installation or update of software, drivers and computer security settings, etc.) on the part of the School. Edookit provides advice on the System only. The School is responsible for entering and changing its data on the System.
7. The extent of user support beyond this support is chargeable according to the price list.

2. Edookit is entitled to limit the scope or quality of the System provided or to interrupt its provision completely for a period of time strictly necessary in the following cases:
1. to implement measures or decisions of state authorities (e.g. emergency, legislative measures);
2. due to technical or operational defects;
3. due to operational maintenance, repairs or deployment of a new version of the System;
4. at the moment of reaching or exceeding the financial or volume limits ordered by the School, in particular the data space according to clause 3.3 of these Terms and Conditions and the number of pupils according to clause 5.2 of these Terms and Conditions, i.e. e.g. if it would mean exceeding the limit of the current variant of the System; System variants are listed in the price list;
5. at the time of termination of the Contract;
6. if the School is in default in the payment of its monetary obligations to Edookit;
7. upon breach of this Agreement by the School in any way;
8. upon reasonable suspicion that the School or any third party is (will be) abusing the System provided or is (will be) using the System in violation of these Terms and Conditions or in violation of applicable laws of the Czech Republic.
3. Communication between the Parties shall be made primarily by e-mail, telephone, in person or online via video call or by message on the System. Contact details are given here. Edookit is entitled to change these contact details unilaterally. Reporting of requests is possible via the contact details listed above or directly by message in the System. A request is a message describing a problem, error or any other deficiency of the System, a service order, training, or any other information that the School delivers to Edookit.

2. Edookit is entitled to limit the scope or quality of the System provided or to interrupt its provision completely for a period of time strictly necessary in the following cases:
1. to implement measures or decisions of state authorities (e.g. emergency, legislative measures);
2. due to technical or operational defects;
3. due to operational maintenance, repairs or deployment of a new version of the System;
4. at the moment of reaching or exceeding the financial or volume limits ordered by the School, in particular the data space according to clause 3.3 of these Terms and Conditions and the number of pupils according to clause 5.2 of these Terms and Conditions, i.e. e.g. if it would mean exceeding the limit of the current variant of the System; System variants are listed in the price list;
5. at the time of termination of the Contract;
6. if the School is in default in the payment of its monetary obligations to Edookit;
7. upon breach of this Agreement by the School in any way;
8. upon reasonable suspicion that the School or any third party is (will be) abusing the System provided or is (will be) using the System in violation of these Terms and Conditions or in violation of applicable laws of the Czech Republic.

7. Privacy and Data Protection

1. the School determines the purposes and means of processing personal data. The School, as data controller, is responsible for the processing of personal data of pupils, teachers and other data subjects whose personal data it manages.
2. The School acknowledges that it may be subject to the obligation to appoint a Data Protection Officer. The School undertakes to provide Edookit with the identity and contact details of the Data Protection Officer for the purpose of cooperation on data protection.
3. The School acknowledges that it is obliged to keep records of processing activities within the meaning of Article 30(1) of the GDPR. The School is responsible for complying with the conditions of lawfulness of the processing of personal data within the meaning of Article 6 of the GDPR, for the correct classification of the different categories of personal data under the grounds for processing and the resulting condition of obtaining the data subject's consent to the processing of personal data. Edookit will offer the School guides to distinguish the grounds for processing in the basic settings of the System.
4. Edookit undertakes to treat the personal data managed by the School in accordance with the GDPR and its implementing regulations. Edookit only processes personal data in accordance with the provisions of these Terms and Conditions and does not transfer the School's personal data to third countries or international organisations. The independent processing of personal data is prohibited, except for the processing of data provided by the School during the initialization of the system, in which case Edookit is entitled to independently select the optimal method of data processing to populate the database. Edookit is entitled to make the necessary technical adjustments to the System.
5. Edookit undertakes to process and store only accurate personal data as provided by the School (and to update it if requested by the School), and only for the purpose of performing the Agreement and for the duration of the Agreement. The nature and purpose of the processing, the type of personal data and the categories of data subjects are set out in Schedule 1 to these Terms and Conditions.
6. Edookit shall provide reasonable assistance to the School in ensuring compliance with its obligations under Articles 32 - 36 of the GDPR, taking into account the nature of the processing and the information available to Edookit.
7. Edookit shall provide the School with all information necessary to demonstrate that the obligations set out in the GDPR have been complied with and shall facilitate and contribute to audits, including inspections, carried out by the School or any other auditor appointed by the School. The School must notify Edookit of audits at least ten (10) working days before the scheduled audit.
8. The School acknowledges that responsibility for the processing of Personal Data passes to Edookit only to the extent that it corresponds to the scope of the Agreement, i.e. regarding the technical security of the processing of Personal Data provided by Edookit.
9. Edookit undertakes to take appropriate measures, taking into account the state of the art, the cost of implementation, the nature, scope, context and purposes of the processing, as well as the different likely and differently serious risks to the rights and freedoms of natural persons, to prevent accidental or unauthorised access to, alteration, damage, destruction or loss of personal data, unauthorised transfers, unauthorised processing and other misuse of personal data.


10. Edookit specifically undertakes to process the School's data by the following means and methods:by storing data in a database (the School has its own instance of the system and its own database), by querying this database from the teacher system and the parent and student portal, by storing backups of this database on several physical servers, by listing this database (using an encrypted connection using the SSL protocol) by Edookit employees for the purpose of diagnosing and correcting errors and providing the required technical support, to back up the School's data regularly (at least 4 times a day), and upon request to hand over all backed up data to the School in the form of a data extract from the database and within a period according to the School's request, but no more than 30 days (encrypted/unencrypted), to operate the service on the encrypted HTTPS protocol and to take appropriate measures to ensure its availability, in particular by using a professional data center (with electricity backup, multiple Internet connections with a guarantee of availability of at least 99%) and ensuring the deployment of a system backup to another server in the event of a hardware failure, the premises in which the data is physically stored shall be secured by a professional data center meeting appropriate security standards, access to the system and data is managed based on the principles of privilege minimization and need-to-know, so that access is allowed only to authorized persons, access to the system and data is recorded.
11. Edookit undertakes to ensure within the System the possibility of exercising the rights of the data subject, in particular the right to information, the right to access personal data, the right to correction and deletion of data, the right to restriction of processing and the right to data portability, within the meaning of Art. 12 et seq. GDPR, and also the possibility of granting and withdrawing consent to the processing of personal data that is subject to consent.
12. Edookit is entitled to involve other personal data processors in the processing of personal data, in particular companies that are connected to Edookit, i.e. controlled by Edookit or the same controlling person as Edookit within the meaning of Section 74 et seq. of Act No. 90/2012 Coll., on Business Corporations, and only in accordance with the purpose of the Agreement (this is in particular the operator of the Plus4U Service). Furthermore, Edookit is entitled to involve the data storage provider in the processing of personal data in accordance with Article 3, paragraph 3 of these Terms and Conditions. The School gives Edookit an explicit general authorization for this. Edookit will take appropriate measures to protect personal data that it stores in the data storage of a third-party processor. Edookit is obliged to inform the School of the identity of such processor upon the School's request.
13. Edookit is obliged and entitled to cooperate with other processors who provide services to the School on the basis of a contract and use data from the System for such provision. Details are provided in a separate contract.
14. After the termination of the provision of services, Edookit is obliged, in accordance with the School's decision, to either delete all personal data or return it to the School and delete existing copies or backups, unless it is obliged to retain the personal data under legal regulations.

8. Information protection - confidentiality

1. The School and Edookit undertake to maintain confidentiality of all confidential information about the cooperation between the School and Edookit, both during the duration of the mutual contractual relationship and after its termination. Edookit is entitled to disclose confidential information to persons who are in an employment relationship or an employment or similar relationship with a company that is connected to Edookit, i.e. controlled by the contracting party or by the same controlling person as Edookit within the meaning of Section 74 et seq. of Act No. 90/2012 Coll., on Business Corporations, participate in the performance under this Agreement and are bound by confidentiality to the same extent as the contracting parties.
2. Confidential information is all information that the contracting parties communicate to each other, mark as confidential or from the nature of which this follows, regardless of the form and method of its communication or interception.
3. Edookit is obliged to ensure that persons authorised to process personal data undertake to maintain confidentiality.

9. Liability for damages

1. The contracting parties agree to limit the amount of damages so that the total amount of damages arising under or in connection with the Contract, except in cases where there is damage to life and health, intentionally caused damage, damage caused under the influence of addictive substances or damage for which the limitation of liability is excluded by law, does not exceed the amount of CZK 10,000 (in words, ten thousand Czech crowns).

10. Duration and termination of the Contract

1. The system is made available to the School for a period of 12 calendar months. The moment of making it available is always subject to agreement between the contracting parties.
2. If the Contract is not terminated no later than three months before the end of 12 calendar months (from the date of its availability), the duration of the Contract is automatically extended for the following 12 calendar months. This automatic extension of the Contract is agreed as a recurring one, always for a period of another 12 calendar months. Any Termination of the Contract under this Contract is possible in writing or through the communication channels specified in Article 6, paragraph 3 of these Terms and Conditions.
3. If the School does not agree to the price increase pursuant to Article 5, paragraph 7 of these Terms and Conditions, the School is entitled to terminate the Contract within 7 days of the notification of the price increase by Edookit. In such a case, the Contract is not automatically extended in accordance with Article 10, paragraph 2 of the Terms and Conditions, but is terminated upon the expiration of 12 calendar months from the date the Contract enters into force or from the moment the last automatic extension of the Contract becomes effective.
4. Withdrawal from the Contract is governed by Act No. 89/2012 Coll., the Civil Code. Withdrawal is effective on the date of delivery of the notice of withdrawal to the other contracting party. Withdrawal from the Contract is effective ex nunc, i.e. no performance already provided shall be returned.

11. Final provisions

1. Edookit is entitled to unilaterally amend and change these terms and conditions. Edookit will inform the School about the changes. The School is entitled to request termination of the Contract within 30 days of the notification of the change in these terms and conditions according to Article 10.3 of these terms and conditions. After the expiration of the period according to the previous sentence, the new version of the GTC applies to the School.
2. The contractual relationship between Edookit and the School is governed by the legal system of the Czech Republic and any disputes will be resolved by the general courts of the Czech Republic.
3. If any provision of these terms and conditions proves or becomes invalid or ineffective, this fact does not affect the validity or effectiveness of other contractual arrangements.
4. By concluding the Contract, the School confirms that it has been provided with all necessary information, that it has become familiar with these terms and conditions sufficiently in advance, that it considers the entire content of these terms and conditions to be definite and understandable, and that its individual rights and obligations arising from the contractual relationship are completely clear to it.
5. These terms and conditions shall enter into force and effect on 1 January 2024.
